Terms of Service

Welcome to P2P Tugure. These Terms of Service ("Terms") govern your access to and use of the P2P Tugure procurement platform. By creating an account, accepting an invitation, or using the platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using P2P Tugure, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration & Security

• You must provide accurate, complete, and current information when creating your account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree to use the platform only for legitimate procurement activities. You shall not:

• Use the platform for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the platform or other users' accounts
• Upload malicious code, viruses, or any harmful software
• Interfere with or disrupt the integrity or performance of the platform
• Use automated means (bots, scrapers) to access the platform without our written consent
• Impersonate another person or entity
• Share your account credentials with third parties

4. Organization Data & Roles

• Organization administrators control access to organization data, user roles, and permissions.
• You agree to respect the access level assigned to you by your organization administrator.
• Procurement data entered into the platform belongs to the respective organization.
• You shall not access, copy, or distribute procurement data beyond your authorized scope.

5. Confidentiality

You acknowledge that procurement data — including supplier information, pricing, bids, and internal approval workflows — is confidential. You agree to:

• Keep all procurement data strictly confidential
• Not disclose bid amounts, supplier quotes, or evaluation scores to unauthorized parties
• Not use confidential information for personal gain or competitive advantage
• Report any suspected data breach immediately

6. Supplier Terms

If you use the platform as a supplier:

• You agree to provide accurate and truthful information in all submissions
• Quotes, proposals, and documents submitted are binding as stated
• You shall not collude with other suppliers or engage in bid rigging
• You agree to honor the terms of awarded purchase orders

7. Subscription & Payments

• Certain features are available under paid subscription plans.
• Subscription fees are billed in advance on a monthly or yearly basis.
• You may upgrade, downgrade, or cancel your subscription at any time.
• Refunds are handled in accordance with our refund policy.
• We reserve the right to modify pricing with 30 days' advance notice.

8. Intellectual Property

The P2P Tugure platform, including its design, features, code, and documentation, is the intellectual property of P2P Tugure. You are granted a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms. You retain ownership of the data you input into the platform.

9. Service Availability

We strive for 99.9% platform uptime but cannot guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will endeavor to provide advance notice of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by law, P2P Tugure shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the platform.

11. Indemnification

You agree to indemnify and hold harmless P2P Tugure, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform or violation of these Terms.

12. Termination

• You may terminate your account at any time through the Settings page.
• We may suspend or terminate your access for violation of these Terms.
• Upon termination, your right to use the platform ceases immediately.
• Organization data may be retained for a reasonable period to allow for data export.

13. Compliance with Laws

You agree to comply with all applicable local, national, and international laws and regulations, including but not limited to anti-corruption laws, public procurement regulations, and data protection legislation.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Rwanda. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Kigali, Rwanda.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-platform notification. Your continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
